Keep the XP pro and add memory. You need at least 512MB for XP to run smoothly. If you want to improve things even more look for Windows XP Pro Lite w/SP3. It's a third party iteration of XP pro that has a lot of fluff cut out of it. The CPU upgrade would hardly be noticeable.
